Welcome to NODYT LLC ("NODYT," "Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website nodyt.com, our ROI calculator, and our AI automation consulting services (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT REQUIRE THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, PLEASE DO NOT ACCESS OR USE OUR SERVICES.

1. Services and Scope

NODYT provides AI automation consulting, workflow design using third-party tools (such as n8n, OpenAI, Python), and business process optimization. The specific scope of any project will be governed by a separate Statement of Work (SOW) or Service Agreement signed by both parties. In the event of a conflict between these Terms and a signed Service Agreement, the signed Service Agreement shall prevail.

2. AI and Technology Disclaimer

You acknowledge and agree that:

  • Probabilistic Nature: AI models and autonomous agents are probabilistic in nature. NODYT does not guarantee 100% accuracy, reliability, or specific outcomes of any AI-driven workflow.
  • Third-Party Tools: Our Services rely on third-party platforms (n8n, OpenAI, AWS, etc.). We are not responsible for any downtime, API changes, or service interruptions caused by these providers.
  • Monitoring: It is your responsibility to monitor and review the outputs of automated workflows, especially those involving financial transactions or customer communications.
  • No Professional Advice: Any information provided through our Services, including the ROI calculator, is for informational purposes only and does not constitute legal, financial, or tax advice.

3. Intellectual Property Rights

3.1 Deliverables

Upon full payment of all fees due to NODYT, you shall own the intellectual property rights to the specific workflow configurations and custom scripts ("Deliverables") developed specifically for you. NODYT hereby grants you a perpetual, non-exclusive, world-wide, non-transferable license to use such Deliverables for your internal business purposes.

3.2 Pre-existing Intellectual Property

NODYT retains all rights, title, and interest in and to any pre-existing code, methodologies, templates, architectures, or tools used to provide the Services ("Pre-existing IP"). Nothing in these Terms transfers ownership of Pre-existing IP to you.

3.3 Feedback

Any suggestions or feedback you provide regarding our Services may be used by us without restriction or compensation to you.

4. Fees and Payment

Consulting fees, payment schedules, and billing terms will be specified in your Service Agreement. Unless otherwise stated:

  • Payments are due within 15 days of invoice date.
  • Late payments may be subject to a service charge of 1.5% per month.
  • All fees are non-refundable except as expressly provided in a signed agreement.
  • You are responsible for all applicable taxes.

5. Confidentiality and NDA

Both parties agree to protect the other party's confidential information with the same degree of care they use for their own similar information. We are willing to sign a formal Non-Disclosure Agreement (NDA) for enterprise clients upon request.

6. Prohibited Conduct

You agree not to:

  • Use the Services for any illegal or unauthorized purpose.
  • Attempt to hack, decompile, or reverse engineer any part of our website or tools.
  • Use our Services to develop a competing automation agency.
  • Provide us with data that violates any third-party rights or data protection laws.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NODYT LLC, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

UNDER NO CIRCUMSTANCES WILL NODYT'S TOTAL LIABILITY FOR ALL CLAIMS EXCEED THE TOTAL AMOUNT PAID BY YOU TO NODYT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to defend, indemnify, and hold harmless NODYT and its employees from and against any claims, damages, obligations, losses, liabilities, costs, or debt (including attorney's fees) arising from: (i) your use of the Services; (ii) your violation of these Terms; or (iii) your violation of any third-party right, including any intellectual property or privacy right.

9. Termination

We reserve the right to terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. All provisions of the Terms which by their nature should survive termination shall survive (including ownership provisions, warranty disclaimers, and limitations of liability).

10. Governing Law and Dispute Resolution

10.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

10.2 Arbitration

Any dispute arising from or relating to the subject matter of these Terms shall be finally settled by arbitration in New Castle County, Delaware, using the English language in accordance with the Streamlined Arbitration Rules and Procedures of JAMS then in effect.

10.3 Class Action Waiver

YOU AGREE THAT ANY PROCEEDINGS TO RESOLVE DISPUTES WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11. Force Majeure

Neither party will be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, war, strikes, or internet service provider failures.

12. Severability and Waiver

If any provision of these Terms is found to be unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. No waiver of any term shall be deemed a further or continuing waiver of such term.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after those revisions become effective, you agree to be bound by the revised terms.
