Terms of Service.

These Terms of Service ("Terms") govern your access to and use of nodyt.com, our aviation software products (SAMARIA, Zefyrio, Askronos), and our AI automation consulting services (collectively, the "Services"), provided by NODYT LLC ("Nodyt," "we," "our," or "us").

By using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Services and Scope

Nodyt designs and operates aviation software products — including SAMARIA (an AI-assisted Safety Management System), Zefyrio (aviation and drone weather intelligence), and Askronos (a digital pilot logbook and flight-school operations platform) — and separately offers AI automation consulting and workflow design services for business operations. The specific scope, deliverables, and fees for any engagement are defined in the applicable order form, subscription terms, or statement of work.

2. AI and Technology Disclaimer

• Our products use artificial intelligence to support — not replace — human judgment. Outputs (including safety analyses, weather guidance, or automated workflows) may contain errors and should be reviewed before being relied upon for operational or safety-critical decisions.
• You are responsible for reviewing and validating any AI-assisted output before acting on it, particularly for decisions involving safety, compliance, or financial transactions.
• Content on our website, including product descriptions, is for informational purposes only and does not constitute legal, financial, or aviation-regulatory advice.

3. Intellectual Property Rights

Nodyt retains all rights, title, and interest in its products, underlying software, and website content. Where a specific engagement produces custom deliverables for a client, ownership of those deliverables is defined in the applicable agreement. Client data you submit to our products remains yours; we process it solely to provide the Services.

4. Fees and Payment

Fees for subscriptions or engagements are set out in the applicable order form or agreement. Unless stated otherwise, fees are non-refundable once a billing period has started. Late payments may result in suspension of access to the Services.

5. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own confidential information, and not to disclose it except as required to perform under these Terms or by law.

6. Prohibited Conduct

• Reverse-engineer, decompile, or attempt to extract the source code of our products.
• Use the Services to build a directly competing product using our confidential materials.
• Interfere with the security or normal operation of the Services.
• Use the Services for any unlawful purpose.

7. Limitation of Liability

To the maximum extent permitted by law, Nodyt will not be liable for indirect, incidental, special, or consequential damages arising from your use of the Services. Our total liability for any claim will not exceed the fees you paid us in the twelve months preceding the claim.

8. Indemnification

You agree to indemnify and hold Nodyt harmless from claims arising out of your misuse of the Services or violation of these Terms.

9. Termination

Either party may terminate an engagement as set out in the applicable agreement. We may suspend or terminate access to the Services for material breach of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any dispute not resolved informally will be subject to binding arbitration in accordance with the rules of the American Arbitration Association, conducted in English.

11. Force Majeure

Neither party is liable for delay or failure to perform caused by events beyond its reasonable control.

12. Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect. Failure to enforce a provision is not a waiver of future enforcement.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Services after changes constitutes acceptance.
